Terms & Conditions for the dSPACE SIL Lab
dSPACE SE & Co. KG provides its customers (hereinafter “Customer”) access to dSPACE SIL tools (hereinafter “Licensed Material”) within the SIL Lab influencer campaign under these Terms & Conditions. Only persons duly authorized by the Customer (hereinafter “Users”) are permitted to use the Licensed Material.
1. Licensed Material
“Licensed Materials” means dSPACE software including the products ControlDesk, AutosarCompare, Systemdesk and VEOS. The products are provided preinstalled in a virtual machine.
These terms govern the use of the Licensed Material. The Licensed Material is available for access within a virtual machine in the cloud free of charge exclusively for registered Users.
2. Access request
Access to the virtual machine requires the specific User to first submit an access request providing full name, email, role, company name and registered address of the customer. Submitting a request does not create an entitlement to access. dSPACE grants or denies access at its sole discretion and without stating reasons. Use is only permitted after explicit acceptance of these Terms & Conditions.
By accepting these terms within the access request, the User confirms that he is acting on behalf of the customer and is duly authorized to enter into this agreement on the customer’s behalf. Entering into contracts in the User’s own name (as a consumer) is excluded.
Each User may only register once, multiple registrations per User are not permitted.
3. Permitted use cases
dSPACE grants a non-transferrable, non-sublicensable, non-exclusive, worldwide, license to use the Licensed Material exclusively for internal, non-commercial purposes within the scope of demonstration and evaluation activities. Any use in development, production or any other commercial projects, as well as distribution, reverse engineering, manipulation, or transfer of tools or data is prohibited. The Tools within the cloud may only be used within the specific setups, configurations, and environments expressly provided by dSPACE. Any use in other setups, environments, or system configurations is prohibited. Furthermore, the Licensed Material shall not be used in safety-critical systems or applications where personal safety depends on its availability or correctness.
All rights to the Licensed Material remain with dSPACE. No further rights are granted, particularly no ownership rights.
4. Term of Use
Access to the Licensed Material is limited to one week from the date dSPACE grants access. After expiry of the term, the virtual machine and all associated data will be permanently deleted.
Access may be suspended or revoked by dSPACE at any time in case of violation of these Terms & Conditions, without prior notice.
5. Data Protection
Processing of the personal data collected during registration is carried out in accordance with our Privacy Policy, Provided data will only be used for providing access to the Licensed Material and for contacting the User exclusively in connection with the SIL Lab influencer campaign and not for any other purposes. The environment is hosted by Microsoft Azure (Microsoft Ireland Operations Ltd., Server location: Europe). Neither Microsoft nor dSPACE track any usage data of the demo.
6. Liability and Warranty
The Licensed Material is provided free of charge and dSPACE’s liability therefore is limited. Except in cases where liability is mandatory by law, including, but not restricted to, cases involving intent or gross negligence, injury to life, body or health, or where product liability law applies, dSPACE cannot be held liable for any special, direct, indirect or consequential loss or damage.
8. Marketing and Contact
By registering for the Licensed Material, the User agrees to receiving marketing emails and to be contacted directly, exclusively in connection with the SIL Lab influencer campaign during the test period. This consent can be withdrawn at any time by contacting dSPACE directly at sil-contact@dspace.de.
9. Export
The Licensed Material might be subject to export restrictions, including but not limited to restrictions under German, EU and US export law, which prohibit the export or diversion of certain products, information about the products, and direct products of the products to certain countries and certain persons. The Customer agrees not to export any Licensed Material or direct product of Licensed Material in any manner without first obtaining all necessary permissions from appropriate government agencies.
10. Jurisdiction
Should any provision of these Terms & Conditions be or become invalid, the validity of the remaining provisions shall not be affected.
These Terms & Conditions shall exclusively be subject to German law. The place of jurisdiction shall be Paderborn, Germany.
